Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you (wherever in the world you are based) and Rainproxy, a private limited company incorporated under the laws of the Netherlands, having its registered office in Utrecht and registered with the Dutch Chamber of Commerce (KvK) under number 81234953. The Netherlands is our global headquarters; we serve customers in over 150 countries. By accessing or using the Rainproxy services you agree to be bound by these Terms.
1. Use of Services
Rainproxy provides proxy infrastructure (residential, ISP, mobile, datacenter and IPv6 proxies) and related tooling. You agree to use the services only for lawful purposes and in compliance with these Terms, applicable data-protection laws (GDPR / UK GDPR / CCPA / LGPD / PIPEDA / Australian Privacy Act and equivalents), applicable computer-misuse and anti-fraud laws in your jurisdiction (e.g. the US Computer Fraud and Abuse Act, the UK Computer Misuse Act 1990, the Dutch Computercriminaliteitswet), and international sanctions regimes (EU, UN, UK OFSI, US OFAC).
2. Account
You must provide accurate registration information. You are responsible for all activity under your account and must protect your API credentials.
3. Payments, taxes & invoicing
Prices are quoted in USD or EUR (and other currencies where offered) exclusive of applicable indirect taxes. We collect and remit taxes as required:
- Netherlands: 21% BTW.
- Other EU business customers: reverse-charge mechanism where a valid VAT ID is provided; otherwise the local VAT rate of your member state.
- United Kingdom: 20% UK VAT; reverse-charge for VAT-registered businesses where applicable.
- United States: sales tax collected in states where we have nexus; customers are responsible for use tax elsewhere.
- Canada / Australia / other GST jurisdictions: GST collected where required by local law.
- Rest of world: taxes shown at checkout based on your billing address; you remain responsible for any local withholding tax.
Invoices are issued electronically and retained for up to 7 years (NL fiscal law) or any longer period required by your jurisdiction. Pre-paid bandwidth never expires. Subscription fees are billed in advance. Where local consumer-protection law grants a statutory cooling-off / withdrawal right (e.g. 14 days under EU Directive 2011/83 and art. 6:230o Dutch BW), that right lapses once digital services have begun with your explicit consent.
3a. Refund policy (14-day money-back guarantee)
GB-based plans. If you purchased a GB-based (pay-per-GB / bandwidth) plan, you may request a full refund within 14 calendar days of the purchase date, provided that less than 10% of the purchased bandwidth has been consumed at the time we receive your request, and your account is in good standing. Refunds are returned to the original payment method within 5–10 business days. The bandwidth counter in your Rainproxy dashboard is the binding record of consumption for the purposes of the 10% threshold.
Non-refundable purchases. The following are final and not covered by the 14-day guarantee: (a) unlimited / unmetered and port-based plans, including Unlimited Residential and Unlimited ISP, whether used or unused; (b) dedicated ISP or dedicated IP allocations once the IPs have been provisioned to your account; (c) all cryptocurrency payments, because blockchain settlement is irreversible. Crypto sales are final, though we may issue goodwill account credit at our sole discretion; (d) requests made after the 14-day window; (e) plans where 10% or more of the bandwidth has been used; (f) custom, enterprise or negotiated contracts governed by their own written terms; and (g) accounts terminated for abuse, fraud, sanctions breaches or violations of these Terms.
Statutory rights. Where you purchase as a consumer in the EU/EEA, your statutory withdrawal right (Directive 2011/83/EU; art. 6:230o Dutch Civil Code) lapses once delivery of the digital service begins with your express prior consent and your acknowledgement that you thereby lose that right. The 14-day guarantee described above is a contractual commercial policy offered in addition to, and does not limit, any mandatory statutory right you may have. Purchases made in the course of a trade, business or profession are governed exclusively by this section.
Chargebacks. Please contact billing@rainproxy.io or our live chat before raising a chargeback; initiating a chargeback without first contacting us may result in immediate suspension of your account. We may refuse refunds where we reasonably determine this policy is being used repeatedly to obtain free bandwidth. Pre-paid bandwidth never expires, so unused GB stay in your balance. 4. Data protection
We process personal data in accordance with our Privacy Policy and, where you act as a data controller using our services as a processor, our data-processing terms (covering GDPR art. 28, UK GDPR, LGPD art. 39 and CCPA "service provider" requirements) apply as incorporated by reference; a signed copy is available on request via legal@rainproxy.io.
5. Service level
We target 99.9% monthly availability across all global Points of Presence. Beyond expressly written SLA commitments, services are provided on an "as is" basis to the maximum extent permitted by applicable law. Mandatory consumer-protection rights in your jurisdiction (including the EU, UK, Australia and Brazil) are not affected.
6. Liability
To the maximum extent permitted by law, Rainproxy's aggregate liability for direct damages is limited to the fees paid by you in the three (3) months preceding the event giving rise to the claim. Liability for indirect or consequential damages (including loss of profit, goodwill or data) is excluded. Nothing in these Terms excludes liability for wilful misconduct or gross negligence, nor any liability that cannot be excluded under mandatory law in your jurisdiction.
7. Termination
Either party may terminate the agreement at any time on written notice. We may suspend or terminate immediately for material breach (including unlawful or abusive use of the services), insolvency, sanctions exposure, or where required by law or court order. Provisions that by their nature should survive termination shall continue to apply.
8. Changes
We may modify these Terms with at least 30 days' notice for material changes, communicated by email or via the dashboard. Continued use after the effective date constitutes acceptance.
9. Governing law & dispute resolution
These Terms are governed by the laws of the Netherlands. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply. The exclusive forum for disputes is the competent court in Utrecht (Rechtbank Utrecht). Except that (i) consumers may bring proceedings before the court of their place of residence as required by local law, and (ii) we may, at our option, agree to ICC arbitration (seat: Utrecht, language: English, single arbitrator) for B2B disputes above EUR 250,000 to keep enforcement straightforward across jurisdictions. The English version of these Terms prevails over any translation.
